These Terms and Conditions (“Terms”) apply to your use of the website pathwaynexus.website and your participation in programmes, courses, events, and services offered by Pathway Nexus School (“we”, “us”, “our”). By accessing our website or enrolling in a programme, you agree to these Terms.

2) Eligibility & accounts
- Programmes are intended for adults (18+). If you create an account, you must provide accurate information and keep your credentials secure.
- You are responsible for all activity under your account. Notify us promptly of any unauthorised use.
3) Contract formation
- Information on our website is an invitation to treat, not a binding offer.
- Your order/enrolment is an offer to purchase services. A contract is formed when we send an explicit confirmation (e.g., “Enrolment confirmed”) or when we start providing the services, whichever occurs first.
4) Programmes & changes
- We may update syllabi, instructors, schedules, delivery format (online/offline), or assessment methods to maintain quality or reflect industry practice.
- If a material change adversely affects you, we will take reasonable steps to notify you and offer suitable alternatives or a pro-rata refund where appropriate.
5) Fees, taxes & payment
- Fees are stated in GBP unless specified otherwise and include taxes only where stated. You remain responsible for any bank charges, currency conversion fees, or local taxes.
- We may offer instalment plans. By selecting instalments, you authorise scheduled charges until the balance is fully paid.
- Payments may be processed by third-party providers. We do not store full card details.
- Access to course materials may be suspended for late or failed payments until arrears are cleared.
6) Cancellations, cooling-off & refunds
- Cooling-off (UK distance contracts): If you enrol online, you may cancel within 14 days of our confirmation for a full refund provided the service has not begun.
- Service commencement: If you request or consent for the programme to start within the 14-day period, you may be charged a reasonable amount for services provided up to cancellation (or you may expressly waive the cooling-off right).
- After cooling-off: Refunds are at our discretion unless required by law or by a specific written policy for the programme you joined.
- Events/workshops: Tickets are generally non-refundable but may be transferable; we will consider reasonable substitutions.
- To cancel, email info@pathwaynexus.website from your enrolment email with your name and programme details.
7) Learner conduct & academic integrity
- Treat staff, mentors and peers with respect; disruptive behaviour may result in suspension or removal without refund where justified.
- No plagiarism or unauthorised collaboration on assessed work. We may use tools to detect academic misconduct.
- Do not share private class links, materials or recordings publicly or with unregistered persons.
8) Learning materials & licence
- Unless stated otherwise, we (or our licensors) own all intellectual property in course materials, recordings, and the website.
- We grant enrolled learners a personal, non-exclusive, non-transferable licence to access materials for study purposes during the programme and for a reasonable period afterwards.
- You must not copy, resell, publicly share, or create derivative works from our materials except as permitted by law.
9) Career services & outcomes
- Career support may include CV/portfolio reviews, mock interviews, and job-search guidance.
- We do not guarantee employment, salary increases, or specific outcomes.
10) User content
- You retain rights to content you submit (projects, comments, uploads). You grant us a worldwide, royalty-free licence to use, reproduce, and display such content for delivering the programme and operating our services.
- With your consent, we may feature your projects or testimonials for marketing. You can withdraw consent for future use by contacting us.
11) Acceptable use of the website
- Do not misuse the site (e.g., introduce malware, attempt unauthorised access, scrape at scale, or overload infrastructure).
- We may suspend access to protect the site or comply with law.
12) Third-party services & links
Our services may interoperate with third-party platforms (e.g., video, code repositories, payment processors). Your use of those platforms is subject to their own terms and policies. We are not responsible for third-party content or practices.

14) Suspension & termination
- We may suspend or terminate access where you materially breach these Terms or any learner code of conduct, or where required by law/regulator.

15) Warranties disclaimer
Except as expressly stated, services are provided “as is” and “as available”. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16) Limitation of liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot lawfully be limited.
- We are not liable for: (a) loss of profit, revenue, business, goodwill, or data; (b) indirect or consequential loss.
- Subject to the above, our aggregate liability arising out of or in connection with the services is limited to the total fees you paid to us for the programme giving rise to the claim in the 12 months preceding the event.
- Your statutory rights as a consumer are not affected.
17) Indemnity
You agree to indemnify us against reasonable losses arising from third-party claims related to your unlawful use of the services or content you submit, except where we are at fault.
18) Force majeure
We are not responsible for failure or delay caused by events beyond our reasonable control (e.g., outages, strikes, pandemics, government actions). We will resume performance as soon as reasonably practicable.

21) Governing law & jurisdiction
These Terms and any non-contractual obligations are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that consumers residing elsewhere in the UK/EEA may benefit from mandatory consumer protections and bring claims in their local courts.
